AT&T says it's buying Time Warner for about 85-billion dollars. The deal calls for AT&T to pay about 108-dollars per share, in a combination of cash and stock.
If approved by regulators, it would be one of the largest telecommunications mergers in history.
AT&T is planning to add film content and cable TV channels like HBO and CNN to their wireless phone and broadband services. They plan to close the deal by the end of 2017.
